Service Agreement

Use of MetricLabs Services

These Terms of Service govern your use of MetricLabs platform and services. By accessing or using MetricLabs, you agree to be bound by these terms. If you do not agree to any part of these terms, you may not use our services.

Account Responsibilities

  • Account Access: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Data Accuracy: You agree to provide accurate, current, and complete information when creating your account.
  • Prohibited Activities: You agree not to use MetricLabs for any unlawful purposes or in violation of any applicable laws or regulations.

Intellectual Property Rights

  • MetricLabs IP: All content, technology, and trademarks used in MetricLabs remain our exclusive property or those of our licensors.
  • Your Data: You retain all rights to your business data uploaded to MetricLabs. We do not claim ownership of your data.
  • License Grant: By using MetricLabs, we grant you a limited, non-exclusive license to use our platform in accordance with these terms.

Limitation of Liability

To the maximum extent permitted by law, MetricLabs shall not be liable for any indirect, incidental, special, or consequential damages.

MetricLabs liability is limited to:

  • • Direct damages only, not exceeding fees paid in the past 12 months
  • • Exclusion of lost profits, lost data, or business interruption
  • • No liability for user errors or third-party integrations
  • • MetricLabs relies on Azure SLAs for infrastructure availability

Termination

Either party may terminate the service agreement with 30 days' written notice.

  • • Upon termination, you may export your data within 30 days
  • • MetricLabs reserves the right to suspend service for non-payment
  • • Survival clauses apply to sections on IP Rights and Liability
  • • No refunds for prepaid services unless stated otherwise
